Terms and Conditions of Sale (T&Cs)

1. Purpose and Identity of the Seller

Youmoq SAS, a company with a capital of 5,000 euros, whose registered office is located at 13 rue du colonel de Rochebrune, 92500 Rueil-Malmaison, and which is registered with the Nanterre Trade and Companies Register under number 100 486 844, offers professionals product collections featuring items from multiple brands.

These Terms and Conditions of Sale set forth the terms and conditions governing orders, payment, order fulfillment, delivery, and customer complaints applicable to the products sold by Youmoq. Any order placed on the Platform constitutes unconditional acceptance of these Terms and Conditions of Sale.

2. Access to the Platform

The Platform is reserved exclusively for professionals acting in the course of their commercial, craft, independent professional, or nonprofit activities.

To place an order, the Customer must create a business account and provide accurate, complete, and up-to-date information, including contact information, business registration number, and, if applicable, intra-Community VAT number. Youmoq may request any supporting documentation necessary to verify the Customer’s business status. Youmoq reserves the right to refuse, suspend, or delete an account in the event of inaccurate information, suspected fraud, or failure to comply with these Terms and Conditions. The Customer is responsible for maintaining the confidentiality of their login credentials and for any orders placed through their account.

3. Market and Sales

Youmoq offers themed collections featuring a selection of products from various brands. Sales are held for limited periods, typically seven (7) days. These collections are available while supplies last and may sell out before the end of the sale.

The photographs, descriptions, compositions, sizes, and information presented on the Platform are provided for informational purposes only. Youmoq strives to ensure their accuracy but cannot guarantee the complete absence of errors or minor variations, particularly with regard to visuals, packaging, or availability.

The packages offered cost less than 300 euros (excluding tax), unless otherwise indicated on the Platform.

4. Orders

The Customer selects the desired categories, reviews the order details, and confirms the purchase by following the steps provided on the Platform.

The order is considered final after it has been approved by the Customer and Youmoq has confirmed receipt, subject to receipt of payment or acceptance of payment upon maturity.

Youmoq reserves the right to refuse or cancel an order in the event of a prior dispute, nonpayment, incomplete information, suspected fraud, or exceptional unavailability of a product.

If a category or product becomes unavailable after an order has been placed, Youmoq will notify the Customer as soon as possible and, depending on the circumstances, either refund the corresponding amount or offer an alternative solution. The Customer is free to accept or decline this offer.

5. Price

Prices are listed in euros, excluding tax (“HT”), unless otherwise noted.

The applicable sales tax and any shipping charges are displayed before the order is finalized. The Customer is responsible for reviewing the order summary before payment. The wholesale prices of the products included in the collections are set by the respective brands. Youmoq curates and sells the collections in accordance with the terms and conditions displayed on the Platform at the time of order placement.

Youmoq may change its prices at any time. However, the worlds are billed based on the rates displayed when the Customer confirms the order.

6. Payment

Payment is made using the methods offered on the Platform.

Unless otherwise agreed, orders are payable in full upon confirmation. Youmoq may offer certain Customers payment terms of thirty (30) days. This option is subject to the Customer’s eligibility and may be granted, denied, suspended, or revoked at any time by Youmoq or its payment partner, in accordance with the applicable terms and conditions.

In the event of late payment, the amounts due automatically accrue late payment penalties, which become payable as of the day following the due date indicated on the invoice. The applicable rate is that provided for by current regulations. A flat-rate compensation of 40 euros for collection costs is also due, without prejudice to compensation for additional costs upon presentation of supporting documentation.

In the event of nonpayment, Youmoq may suspend pending orders, demand immediate payment of amounts due, and refuse any new orders.

7. Preparation and Delivery

The products that make up the collections are first shipped by partner brands to Youmoq's logistics hub, located in France.

Upon receipt of the products, Youmoq prepares the sets and then ships them to the Customer at the address provided at the time of order. The delivery times indicated on the Platform are for informational purposes only. They depend, in particular, on the receipt of products shipped by the brands, the time required to prepare the sets, and the carrier’s delivery times.

Unless otherwise specified, Youmoq makes every effort to ship the universes within an estimated timeframe of seven (7) business days after the sale closes and all products required to prepare the universe have been received.

The Customer must ensure that the delivery address provided is accurate and accessible. The Customer is responsible for any consequences resulting from an incorrect address, the recipient’s absence, or failure to pick up the package.

The risk of loss or damage to the products passes to the Customer upon physical receipt of the package by the Customer or by the person designated by the Customer.

8. Receiving and Complaints

The Customer must check the condition of the package and the products upon receipt.

Any apparent issue—including a damaged package, missing item, incorrect item, or damaged product—must be reported to Youmoq within forty-eight (48) hours of receipt by email to [support email address], along with photographs and any relevant information.

After this period, the products are deemed to be in compliance and accepted, subject to the applicable statutory warranties.

After reviewing the claim, Youmoq may, depending on the situation, offer to replace the product in question, issue a credit note, or provide a partial or full refund. No returns may be made without Youmoq’s prior approval.

Since sales are conducted exclusively between businesses, the Customer does not have the right of withdrawal available to consumers.

9. Liability

Youmoq is committed to taking all reasonable measures necessary to ensure the proper fulfillment of its obligations.

Youmoq shall not be held liable for any delays or failures to perform resulting from events beyond its control, including, but not limited to, supply delays, carrier failures, force majeure, strikes, network outages, or computer system malfunctions. Youmoq’s liability is limited to direct, foreseeable, and proven damages suffered by the Customer as a result of a proven breach by Youmoq.

In any event, unless otherwise required by law, Youmoq’s total liability is limited to the amount (excluding tax) actually paid by the Customer for the order in question. Youmoq shall not be liable for indirect damages, including loss of revenue, loss of customers, loss of data, damage to reputation, or loss of opportunity.

10. Retention of Title

The products sold remain the property of Youmoq until full payment of their price, including principal, interest, and incidental charges. However, the Customer assumes the risks associated with the products upon receipt, in accordance with Article 7 of these Terms and Conditions.

11. Personal Information

Youmoq processes Customers' personal data as necessary for account creation, order management, payment, delivery, customer service, and compliance with its legal obligations.

The terms of processing, the rights of data subjects, and contact information are detailed in the Privacy Policy available on the Platform: [link to the Privacy Policy].

The Customer agrees to provide Youmoq only with accurate and necessary data.

12. Intellectual Property

The Platform, its content, visuals, text, trademarks, logos, and graphic elements are protected by intellectual property rights.

Any reproduction, display, distribution, or use, in whole or in part, without the prior written authorization of Youmoq or the relevant rights holder is prohibited.

13. Changes to the Terms and Conditions

Youmoq may modify these Terms and Conditions at any time.

The applicable Terms and Conditions are those in effect on the date the Customer confirms the order. The current version is available on the Platform.

14. Governing Law and Disputes

These Terms and Conditions are governed by French law. In the event of a dispute, the Customer is encouraged to first contact Youmoq at [support email address] to seek an amicable resolution.

In the absence of an amicable settlement, any dispute regarding the validity, interpretation, performance, or termination of these Terms and Conditions shall fall under the exclusive jurisdiction of the courts within the jurisdiction of the Court of Appeals of [city where Youmoq’s corporate headquarters is located], including in cases involving multiple defendants or third-party claims, subject to applicable mandatory rules.
