Terms and Conditions of Sale (T&Cs)
Article 1. Purpose and Scope of Application
These General Terms and Conditions of Sale (GTC) govern transactions carried out on the website www.youmoq.com between:
- The Youmoq Company, acting as a commission agent (hereinafter "Youmoq").
- The Merchant, professional buyer (hereinafter "the Retailer").
- The Brand, professional seller (hereinafter "the Brand").
Any order placed on the Website implies unconditional acceptance of these Terms and Conditions.
Article 2. Nature of the Offer: "Discovery Packs"
The products are offered in Discovery Packs (assortments of bestsellers or new products).
- Flash Sale: Offers are limited in time (72 hours) and quantity (usually 20 packs per brand).
- Availability: The sale is subject to availability of stock at the Brand. In the event of a stock shortage, the Retailer will be refunded in full.
Article 3. Territorial Exclusivity
Youmoq offers retailers temporary territorial exclusivity on the Discovery Pack purchased.
- Scope: Exclusivity is guaranteed within a defined radius (by default, the postal code or an area of 1 to 3 km depending on urban density) around the delivery address.
- Duration: It applies during the sale and for a period of two months following receipt of the products.
- Limitation: Youmoq undertakes to refuse any order for the same pack from another store in this area.
Article 4. Prices and Billing
- Price excluding tax: The purchase prices of the packs are displayed excluding tax. The applicable VAT is added to the shopping cart.
- Recommended Retail Price (RRP): Youmoq provides the recommended retail price including tax for informational purposes only. Retailers are free to set their own resale prices in accordance with the law.
- Single Invoice: Youmoq issues a single invoice that centralizes all of the retailer's purchases during a single session.
Article 5. Payment and 30-Day Period
- Payment methods: Credit Card, Bank Transfer, or Deferred Payment.
- 30-day payment: This service is subject to validation of the Retailer's eligibility by our financial partners (Stripe/Mondu). In case of refusal, the Retailer must pay for their order in cash.
- Delays: Any delay in payment shall automatically result in the application of late payment penalties (ECB rate + 10 points) and a fixed compensation fee of €40 for recovery costs.
Article 6. Shipping and Delivery
- Delivery time: Products are usually delivered within 3 to 5 business days after the flash sale ends.
- Shipping costs: Delivery is free to the retailer (covered by Youmoq).
- Transfer of risks: The transfer of risks takes place when the packages are handed over to the carrier. However, Youmoq will mediate in the event of a logistics dispute.
Article 7. Receipt and Disputes (Damage)
- Verification: The Retailer is required to verify the condition of the packages upon receipt.
- Procedure: In the event of damaged products, the Retailer must report this to retail@youmoq.com within 3 business days, providing supporting photographs.
- Resolution: After verification, Youmoq will issue a refund or credit note. No returns will be accepted without prior written agreement from Youmoq.
Article 8. Absence of Right of Withdrawal
In accordance with Article L221-3 of the Consumer Code, the 14-day right of withdrawal does not apply between professionals. All confirmed orders are final and binding.
Article 9. Youmoq's liability
Youmoq acts as an intermediary. It cannot be held liable for:
- Damage related to the use of products (sole responsibility of the Brand).
- Delivery delays caused by the carrier.
- Any non-compliance of the products with the descriptions provided by the Brand.
Article 10. Applicable Law and Jurisdiction
These Terms and Conditions are subject to French law. Any dispute relating to their interpretation or execution shall fall within the exclusive jurisdiction of the Commercial Court of Nanterre.
Terms and Conditions of Use (TCU)
1. Purpose
The website www.youmoq.com (the "Site") is the property of Youmoq, a simplified joint stock company with a capital of €5,000.00, whose registered office is located at 13 rue du colonel de Rochebrune, 92500 Rueil-Malmaison, registered with the Nanterre Trade and Companies Register under number 100486844.
The Site is intended exclusively for professionals (brands, designers, and independent retailers), excluding consumers and non-professionals. Its purpose is to enable the discovery of new brands and to facilitate commercial relationships through an event-based sales model.
The Site allows :
- Brands offer a selection of their bestsellers and new products in the form of "Discovery Packs" during temporary flash sales.
- Youmoq selects the brands and products participating in themed sales and organizes the promotion of these categories.
- Retailers can order these products in bulk, benefiting from preferential terms and temporary territorial exclusivity on the items purchased.
These Terms and Conditions of Use (TCU) govern access to and use of the Website. When a user has an account, these TCU supplement the Terms and Conditions of Sale (TCS) applicable to transactions.
2. Access to and use of the Site
Access to the Site is free for general consultation, but access to professional prices, details of themed sales, and order placement requires a validated user account.
Youmoq systematically verifies the legal existence of the company (SIRET) and the consistency of its professional activity before validating any account. Youmoq reserves the right to refuse or suspend any account at its discretion, particularly in the event of incorrect information or a profile that does not meet the platform's selection criteria.
3. Site evolution
Youmoq may modify, add, or remove any content, feature, or service offered on the Site at any time and at its discretion, in particular to develop sales themes, without incurring any liability.
4. User behavior
Each user agrees to use the Site with respect and courtesy, and not to:
- Impersonating another user, brand, or merchant.
- Using price and inventory information for public comparison, disparagement, or unauthorized competitive monitoring purposes.
- Attempting to bypass the platform to contract directly with a partner met through the Site.
- Disrupt or attempt to hack the Site or connected systems.
- Infringe the intellectual property rights of Youmoq, partner brands, or any third party.
5. Intellectual property
The Website and its contents (text, tree structure, Youmoq logos, database) are the exclusive property of Youmoq or its partners and are protected by intellectual property law. Any reproduction or distribution without authorization is prohibited.
Partner brands remain the owners of their content (product photos, descriptions, logos). By publishing on the Website, brands grant Youmoq the right to use these elements for sales promotion on the Website and related communication media (newsletters, social networks).
6. Liability
6.1. Access and operation: The Site is provided "as is." Youmoq does not guarantee that the Site will be free of errors, viruses, or interruptions. Youmoq cannot be held liable for any damages related to the use of the Site.
6.2. Products: Youmoq acts as a curator. The Brand is solely responsible for product compliance (safety standards, labeling, certificates) and the accuracy of product descriptions. Youmoq declines all responsibility in the event of hidden defects or manufacturing defects.
6.3. Exclusivity: Youmoq shall take all necessary measures to guarantee the geographical exclusivity promised to the purchasing merchant. In the event of accidental breach of this exclusivity, Youmoq's liability shall be strictly limited to refunding the order in question.
6.4. Limitation of liability: If Youmoq is found liable, its liability shall be limited to the amount of commission received by Youmoq on the transaction giving rise to the dispute. Any claim must be made in writing within 6 months of the event in question.
7. Personal data and cookies
Youmoq collects and uses users' personal data for account and order management. The privacy policy and cookie policy detail the uses and users' rights (access, rectification, deletion).
8. General provisions
If any provision of these Terms of Use is declared invalid by a court of law, the remaining provisions shall remain in full force and effect. Youmoq's failure to enforce any provision of these Terms of Use shall not constitute a waiver of its rights.
9. Applicable law and jurisdiction
These Terms of Use are governed by French law. Any dispute relating to the Website or Youmoq services falls under the exclusive jurisdiction of the courts within the jurisdiction of the Court of Appeal of Nanterre.
