The website www.youmoq.com (the "Site") is the property of Youmoq , a simplified joint stock company with capital of xxx euros, headquartered at 13 rue du colonel de Rochebrune, 92500 Rueil-Malmaison, France, registered with the Nanterre Trade and Companies Register under number XXX XXX XXX. (hereinafter "Youmoq").

The Site is aimed exclusively at professionals (brands, producers and independent retailers), to the exclusion of consumers and non-professionals. Its purpose is to enable brands and retailers to enter into relationships via the Youmoq platform.

The Site allows :

• Brands can offer their products as dormant stock for temporary B2B sales.
• It's up to Youmoq to select which products appear in which themed sale.
• Retailers can order these products in bulk, grouped together for a single delivery.

These General Terms and Conditions of Use (GTCU) govern access to and use of the Site, whether logged in via an account or in visitor mode.

When the user has an account, these GTC supplement the specific GTC applicable to brands or merchants.

2. Access to and use of the Site

Access to the Site is free, but certain functions (account creation, sales consultation, ordering) require a user account.

• The creation of an account implies acceptance of the terms and conditions specific to your profile (brand or merchant).
• Youmoq reserves the right to refuse or suspend any account at its discretion.

 The Site is provided " as is" and Youmoq does not warrant :

• That the Site will be free from errors or interruptions.
• That the content or services will perfectly meet the user's needs.
• The absence of viruses or other elements that may affect the user's computer system.

Youmoq may interrupt or suspend access to the Site at any time, in particular for maintenance or operational reasons.

3. Site evolution

Youmoq may modify, add or delete any content, functionality or service offered on the Site at any time and at its own discretion, without incurring any liability.

4. User behavior

Each user agrees to use the Site with respect and courtesy, and not to :

• Publish content that is illegal, threatening, abusive, defamatory or injurious to third parties.
• Send unsolicited advertising or misleading information.
• Download viruses or any other code intended to alter the operation of the Site.
• Disrupt or attempt to hack the Site or connected systems.

• Violate the intellectual property rights of Youmoq, its brands or any third party.

Youmoq may suspend or delete any account or content in the event of a breach of these GTU, without prejudice to damages.

5. Intellectual property

 5.1. The Site

The Site and its contents (texts, images, databases, software) are the exclusive property of Youmoq or its partners and are protected by intellectual property law. Any unauthorized reproduction, distribution or use is prohibited.

 5.2. Brands

Youmoq is the owner of its trademarks, logos and graphic content. Users may not make unauthorized use of them. Partner brands retain ownership of their published content and products.

 5.3. User rights

Subject to these GCU, the user has a limited and personal right to access and consult the Site. Any reproduction, modification or transfer is strictly forbidden without written consent.

 5.4. Hypertext links

The Site may contain links to external sites. Youmoq has no control over these sites and accepts no responsibility for their content or use.

6. Liability

 6.1. Access and operation

Each user is responsible for his/her access to the Site and for the technical means used. Youmoq cannot be held responsible for any direct or indirect damage linked to access or use of the Site, including loss of data or commercial damage.

 6.2. Content published by users

The content published by brands or merchants is their responsibility. Youmoq acts solely as a technical platform and exercises no prior control. Users must report any illegal content via the contact form.

 6.3. Limitation of liability

Youmoq does not guarantee the accuracy of the information provided by users, nor the continuous availability of the Site. Any claim must be made within 6 months of the event concerned.

7. Personal data and cookies

Youmoq collects and uses users' personal data to manage accounts, orders and communications. The Site's privacy policy and cookies policy detail users' uses and rights.

8. General

 8.1. Modifications

Youmoq may modify the present GTU at any time. Users are invited to consult them regularly.

 8.2 Completeness

If a clause of the GCU is declared invalid, the other clauses remain in force.

 8.3. Applicable law

The GCU are governed by French law.

Any dispute relating to the Site or to Youmoq's services falls under the exclusive jurisdiction of the courts of the Nanterre Court of Appeal.
